Investment Criteria 

Wolseley Private Equity seeks to invest in companies with the following attributes:

• An established operating history, preferably more than 10 years.
• Operating in manufacturing, distribution or service sectors with a clear business to business model or a strong retail brand.
•  Significant market position in an established market.
• A history of good EBITDA performance, at least $5 million pre-tax earnings.
• Operating cash-flow and a balance sheet capable of supporting appropriate leverage.
• A capable CEO or a Bankable CEO^© partnered with Wolseley.
• An experienced senior executive team with the desire and ability to develop the business.
• Market and profit growth potential.
• Investment by the management team.
• Has an Enterprise Value between $20 million and $150 million.

Wolseley is most attracted to owner-managed businesses (particularly those requiring succession solutions for shareholder and generational change) and non-core operating divisions of larger companies.

Wolseley Private Equity does not pursue start up or early stage situations.
